Company Secretary

In many offshore jurisdictions, appointing a Company Secretary is a statutory requirement. The Company Secretary’s role is to perform a variety of tasks crucial to the smooth running of the company, which includes ensuring that the company's statutory obligations are complied with. With increased public and political concern about governance, ethics, probity, accountability and good practice, it is important that the Company Secretary’s knowledge is continuously updated with the jurisdictions’ legislation, regulation and best practice in order to ensure compliance.

In many instances, the job of Company Secretary may also include management of administrative matters, including possibly the accounting function, and liaising with other external professional advisers such as auditors and lawyers.

Keeping up with companiy requirements is time consuming and can be labour intensive for company directors. For example: there are government forms and board resolutions to complete and penalties for failing to file these documents or for filing them too late. We can provide company secretarial services for a number of jurisdicions to ensure that these important statutory requirements are fulfilled, leaving the day to day running of the company to the directors.

As your Company Secretary, we will prepare documents in respect of changes to your offshore company structure as and when they occur. Such matters will include allotment of shares, transfer of shares, appointments and resignations of officers, standard resolutions and liaison with the Registry of Companies. Bookkeeping, accounting and external liaison services can be added to our standard Company Secretary package after we understand the scope of work required.

Nominee Directors
The Nominee Director is a natural person or body corporate, who upon your specific request holds the position of a Director in the offshore company. The Nominee is a Director of a company in name only, signs the standard incorporation documents and board resolutions (at time of formation) and has no other powers or responsibilities. Hourly fees apply if Nominee Director is to review & sign agreements, invoices, bank account opening forms, letters, extra ordinary board resolutions etc. on behalf of the company. The Nominee Director will not enter into any business contract or financial or moral commitment. To enable you to operate the company, as if you were Director, we will provide you with a Power of Attorney, which is a legal document empowering you to manage the company's activities including opening and operating the companyÕs bank account.

We will also provide you with a Nominee Service Agreement which defines the limitations of our role as nominee. Both the Power of Attorney and Nominee Service Agreement are confidential documents designed to ensure your privacy. Additional fees apply if the Nominee Director is required to also act as bank account signatory.

Nominee Shareholder

The Nominee Shareholder is a natural person or a body corporate created for the purpose of holding shares and other securities on behalf of the actual beneficial owners/investors. With our service, the Nominee Shareholder is not the legal owner of the shares, and the underlying beneficial owners/investors have the "beneficial interest" in the shares: i.e. they are entitled to all income and capital gains on them.

The Nominee Shareholder would hold your shares on trust in the form of a Declaration of Trust. Our Declaration of Trust would serve the purpose of ensuring that your identity as Beneficial Owner(s) is only known to us and not kept at the Registered Office or put on public record at the Company's Registry. An original Share Transfer Form signed by us, but undated, will be issued to you, so that you can have the security of being able to transfer the shares at any time.
